Frequently asked questions about Public Offerings

A public offering is when a company or a fund opens its doors to new investors. We prepared this FAQ to explain, in a simple way, how it works and what is worth knowing before deciding to take part.

What is a public offering?

It is when a company or a fund offers an investment opportunity to many people at the same time, not just to a small group of guests. Everyone who can take part receives the same information, at the same time, before deciding. This is guaranteed by the rules of the CVM, the body that supervises the investment market in Brazil.

What is the difference between a primary and a secondary offering?

Think of it this way: in a primary offering, the money you invest goes straight to the company or the fund, for them to use and grow. In a secondary offering, the money goes to whoever already owned that stake — for example, a partner who decided to sell their share. Some offerings mix both types, and this is always explained in the offering materials.

Who can take part in a public offering?

It depends on the offering. Some are open to anyone who wants to invest. Others are only for those with more experience or more money invested — the market calls this group “qualified” or “professional” investors. This information is always in the offering materials, so it is the first thing worth checking.

How do I know whether a public offering makes sense for me?

A few simple questions help a lot: do I clearly understand what I am buying? Does this amount fit my budget without compromising the rest of my portfolio? Am I comfortable with the risks I read in the prospectus? If you still have doubts after asking yourself these questions, talk to your investment advisor before deciding.
